As required by the provisions of Clause 49 of the Listing Agreement, the Company is required to develop a Familiarisation Programme for the Independent Directors of the Company.
The familiarisation programme is structured to assist the Independent Directors to understand the Company and its business so as to enable them in effective discharge of their duties.
The Company shall, through its Senior Managerial Personnel, conduct programs periodically to familiarize the Independent Directors of the Company. The Program aims to offer a conceptual framework based upon current expectations which require the Independent Directors to adhere to a code of ethics and integrity. The program shall be conducted in such a manner as to facilitate the Independent Directors and enable them to attend the same in view of their busy schedules.
The Familiarisation Programme for the Independent Directors shall be disclosed on the website of the Company at juvenorhealthcare.com and a web link thereto shall also be given in the Annual Report.
In accordance with Familiarization Programmes for Independent Directors of the Company, at the time of appointing an Independent Director, a formal letter of appointment is given to him, inter alia explaining the role, function, duties and responsibilities expected of him as a Director of the Company. The Independent Director is also explained in detail his role, rights, responsibilities under the Companies Act, 2013 and Listing Regulations.

The Independent Directors have complete access to the information within the Company. Presentations are regularly made to the Independent Directors on various matter inter-alia covering the Company’s strategy, operations, markets, product offerings, finance, risk management framework, human resources, technology, quality control and such other areas which may require orientation from time to time, where Directors get an opportunity to
